Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of the SLEEEK platform, including the SLEEEK website (sleeek.co, app.sleeek.co), the SLEEEK mobile application ("SLEEEK App"), the SLEEEK CRM, the SLEEEK Express desktop application, and all related services (collectively, the "Platform"), operated under the name SLEEEK ("SLEEEK", "we", "us", or "our").

By creating an account, downloading the app, or using any part of the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

These are Platform terms between the account holder and SLEEEK. When an independent photography business uses the SLEEEK CRM to take a client booking, that business's organization-owned booking terms govern the supplier-client job, image licence, and job-specific permissions. These Platform terms do not transfer a creator's copyright to SLEEEK merely because content passes through the Platform, and they do not replace a separate model, property, or optional-use permission.

We may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance. We will notify you of material changes via email or in-app notification.

2. Definitions

• "Agent" means a real estate salesperson or agency using the SLEEEK App to capture property photos or receiving deliverables through the Platform.
• "Photographer" means a property photographer using the SLEEEK CRM and/or SLEEEK Express to manage their business, process photos, and deliver to clients.
• "Content" means photographs, videos, editorial copy, property reels, floor plans, virtual staging, and any other media created, processed, or generated through the Platform.
• "Deliverables" means the final edited Content delivered to a client, including gallery links, editorial sites, and property reels.
• "Editorial Site" means an automatically generated property microsite with editorial copy, photo galleries, and property information.
• "Sleeek Select" means the photo selection system with three modes: Set & Forget, Photographer-Selected, and Agent-in-the-Loop.
• "The Brain" means the SLEEEK assistant that provides quality review, editorial content generation, and other automated services.
• "Subscription" means a recurring paid plan that SLEEEK has confirmed with you in writing, including its price, included features, start date, billing frequency, and cancellation terms.

3. Accounts

You must create an account to use most Platform features. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must be at least 18 years old.

You agree to provide accurate, current information and to update it as necessary. We may suspend or terminate accounts that contain false information or violate these Terms.

For team and agency accounts, the account owner is responsible for the actions of all users added to the account.

4. Platform Services

4.1 For Agents (SLEEEK App)

The SLEEEK App enables agents to capture property photos using their mobile device. The App accesses your device camera, gyroscope, accelerometer, photo library, and location services to provide guided capture, levelling, and photo upload functionality.

4.2 For Photographers (SLEEEK CRM & Express)

The SLEEEK CRM provides shoot management, client management, invoicing, gallery delivery, editorial site generation, and team management. SLEEEK Express provides SD card import, bracket grouping, quality scoring, and cloud upload from a desktop application.

4.3 Editing Pipeline

Photos uploaded to the Platform are processed through an automated editing pipeline which may include HDR bracket merging, colour correction, sky replacement, vertical straightening, clutter detection, and item removal. This processing may involve both automated systems and human editors.

4.4 AI and Automated Processing

The Platform uses artificial intelligence and machine learning to provide quality control scoring, photo selection (Sleeek Select), editorial copy generation, property reel creation, and The Brain assistant. By uploading Content, you consent to this automated processing.

AI-generated content (editorial copy, reels, titles) is provided as a starting point. You are responsible for reviewing and approving all generated content before it is published or shared. SLEEEK does not guarantee the accuracy, completeness, or suitability of AI-generated content.

5. Subscriptions and Payment

5.1 Plan Information

Public plan pricing is being finalised. Joining the wait list does not start a Subscription, promise a trial, define feature entitlements, or authorise a charge.

SLEEEK will confirm the price, included features, start date, billing frequency, taxes, and cancellation terms with you in writing before activating a paid plan. That written confirmation controls.

5.2 Billing and Activation

No recurring plan fee is due until SLEEEK has confirmed and activated your Subscription. Charges for separately ordered services remain payable under the applicable booking, order, or invoice. The payment method and currency are stated in that document.

5.3 Cancellation

The cancellation terms in your written Subscription confirmation apply. Cancelling a Subscription does not cancel or refund services already ordered, delivered, or invoiced unless SLEEEK agrees otherwise in writing.

5.4 Late Payment

Invoices are due within 14 days. Late payments incur a 10% late fee, repeating every 14 days. We may suspend access to the Platform and withhold Deliverables for overdue accounts.

6. Content Ownership and Copyright

6.1 Agent-Captured Content

For photos captured by an agent using the SLEEEK App, copyright ownership depends on who created the source material, the agent's employment or contracting arrangements, applicable law, and any written assignment. SLEEEK grants only the rights it actually holds in its editing contribution and does not claim or transfer a third party's rights merely because the files were processed through the Platform. The applicable order or booking document records the permitted use of the edited Deliverables.

6.2 Photographer-Captured Content

For content captured by a photographer and processed through the Platform, ownership depends on applicable law and the photographer's employment, commission, assignment, and other written agreements. The Platform provides tools to record licensing and delivery; it does not decide ownership or supply rights the photographer or photography business does not hold.

6.3 AI-Generated Content

Subject to third-party terms and applicable law, SLEEEK permits you to use output generated for the relevant property listing. Copyright protection and ownership of AI-assisted output can depend on jurisdiction, human contribution, source material, and third-party rights; these Terms do not promise that an output is protectable, exclusive, or clear of third-party claims. You must review output before publication.

6.4 RAW Files

RAW files are not provided unless the applicable order says otherwise. Custody or storage of a RAW file does not determine its copyright ownership. SLEEEK may retain agent-uploaded RAW files only for the service, security, legal, and other disclosed purposes and periods described in the applicable agreement and privacy notice.

6.5 Portfolio Use

SLEEEK does not use your Deliverables for an unrelated portfolio, website feature, social post, stock library, or advertising campaign by default. Each optional use requires separate, express, purpose-specific permission from the relevant rights-holder or authorised person. You may decline without affecting your Platform access or booked service. Withdrawing permission stops new uses under SLEEEK's control but may not recall copies already lawfully published or supplied to third-party channels.

6.6 Model Training

We do not use your photos to train our machine learning models by default. Your RAW files and final Deliverables are never automatically included in training datasets.

An authorised account holder may opt in to a recorded, purpose-specific permission for eligible RAW and/or final images to improve identified editing models. The permission is voluntary, does not affect Platform access or service quality, and is valid only where the person granting it has the necessary copyright, privacy, publicity, confidentiality, and contractual authority. Turning it off excludes eligible images from future dataset builds; it does not promise that a completed model can unlearn a prior authorised training run. The consent record and in-product notice state the selected image scope, purpose, model family, and withdrawal effect.

7. Sleeek Select

Sleeek Select determines how photos are selected before editing. Three modes are available:

• • Set & Forget: Automated selection based on quality scoring, bracket detection, and package requirements. Selected photos go directly to editors.
• • Photographer-Selected: Automated selection followed by photographer review and approval before photos go to editors.
• • Agent-in-the-Loop: Automated selection, photographer approval, then agent approval before photos go to editors.

The mode can be set per shoot, per client, or as a default. The photographer or account owner is responsible for selecting the appropriate mode. SLEEEK is not liable for delays caused by pending approvals in Photographer-Selected or Agent-in-the-Loop modes.

8. Delivery

Your delivery time is shown to you when you book and on your shoot page, and forms part of these terms. Photos and video run on separate timeframes, and each is shown separately. Times are measured from the end of the shoot rather than from when you booked. Exceptionally large or late photo uploads may need a separately agreed delivery time. Delivery times are estimates, not guarantees.

Deliverables are provided as high-resolution JPEGs (full and web-optimised), MP4 video files, and shareable gallery links. Editorial sites and property reels are generated automatically where available on your plan.

8.1 File Storage

Deliverables are stored on the Platform for 12 months from delivery. After 12 months, files may be archived. Retrieval of archived files incurs a $50 fee. We recommend downloading your files promptly after delivery.

8.2 Revisions

One round of revisions is included within 14 days of delivery, covering editing adjustments to delivered photos. Additional revisions or requests beyond 14 days are charged at our standard rates.

9. Property and Shoot Requirements

For photographer-attended shoots: properties must be photo-ready before the scheduled time. A $50 rescheduling fee applies for properties not ready within 15 minutes of the scheduled time.

For agent self-capture via the SLEEEK App: agents are responsible for property preparation, access, and safety. SLEEEK provides guidance through the App but is not responsible for the physical capture environment.

All drone operations comply with CAA regulations. Flights may be restricted near airports or in adverse weather conditions. Weather-related rescheduling is free of charge.

10. Editing Standards

Standard editing includes colour correction, exposure adjustment, HDR bracket merging, vertical straightening, sky replacement, and basic clutter removal. Virtual staging and advanced object removal may be available as additional services.

We will not alter images in ways that materially misrepresent the property. This includes but is not limited to: changing wall colours, hiding structural damage, removing permanent fixtures, or altering room dimensions. Virtually staged images must be clearly labelled in all marketing materials. The client bears responsibility for proper disclosure.

11. The Brain

The Brain is an AI assistant available to Pro and higher plan subscribers. It provides quality review, editorial content generation, and general assistance related to real estate photography.

The Brain is provided "as is". Responses are generated by AI and should not be relied upon as professional advice (legal, financial, or otherwise). You are responsible for verifying any information provided by The Brain before acting on it.

Conversations with The Brain may be logged for quality improvement and service development. Conversation data is subject to our Privacy Policy.

12. Cancellations and Refunds

For photographer-attended shoots, the notice required to cancel or reschedule and any fee for cancelling inside that window are set by the studio and shown to you when you book. No-shows are treated as a cancellation with no notice.

If SLEEEK is at fault (missed critical shots, equipment failure, processing errors), we will reshoot or reprocess at no charge. Otherwise, reshoots are charged at half the original rate plus travel costs.

Refund requests must be made within 14 days of delivery. If a refund is issued, all usage rights to the associated Content are revoked.

13. Acceptable Use

You agree not to:

• • Use the Platform for any unlawful purpose
• • Upload content that infringes third-party rights
• • Attempt to reverse-engineer, decompile, or extract source code from the Platform
• • Resell, sublicense, or redistribute Platform access without authorisation
• • Use automated tools to scrape, crawl, or extract data from the Platform
• • Circumvent usage limits, rate limits, or access controls
• • Share account credentials with unauthorised users
• • Use The Brain or AI features to generate harmful, misleading, or illegal content

14. Limitation of Liability

To the maximum extent permitted by New Zealand law:

• • SLEEEK is not liable for indirect, incidental, consequential, or punitive damages arising from your use of the Platform.
• • Our total liability for any claim is limited to the amount you paid to SLEEEK in the 12 months preceding the claim.
• • We are not liable for losses caused by AI-generated content, automated photo selection, or editing decisions made by the pipeline.
• • We are not liable for pre-existing property damage, items moved during photographer-attended shoots, or claims of misrepresentation arising from Content used in compliance with these Terms.

Nothing in these Terms limits liability that cannot be legally limited, including liability for fraud or wilful misconduct.

15. Indemnification

You agree to indemnify and hold harmless SLEEEK, its directors, employees, and agents from any claims, damages, or expenses arising from: (a) your use of the Platform beyond the scope of these Terms; (b) Content uploaded by you that infringes third-party rights; (c) failure to obtain necessary consents for property photography; (d) misrepresentation claims where SLEEEK followed your instructions; (e) your breach of these Terms.

16. Data and Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

You retain ownership of data you upload to the Platform. Upon account closure, you may request export of your data. We will retain data as described in our Privacy Policy and as required by law.

17. Termination

You may close your account at any time. SLEEEK may suspend or terminate your account for breach of these Terms, non-payment, or at our discretion with reasonable notice.

Upon termination: your Subscription ends, access to Platform features is revoked, and pending Deliverables may not be completed. Content already delivered remains subject to the copyright terms in Section 6. Outstanding payment obligations survive termination.

18. Force Majeure

SLEEEK is not liable for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, pandemics, government restrictions, internet outages, third-party service failures, or civil unrest.

19. Disputes

These Terms are governed by the laws of New Zealand. Any disputes will be subject to the exclusive jurisdiction of New Zealand courts.

Before formal proceedings, both parties agree to attempt resolution through direct discussion, then mediation if necessary. Mediation costs are shared equally.

20. General

• • These Terms constitute the entire agreement between you and SLEEEK regarding the Platform.
• • If any provision is found unenforceable, the remaining provisions continue in full force.
• • Failure to enforce a provision does not constitute a waiver of our right to enforce it later.
• • SLEEEK may assign its rights and obligations under these Terms. You may not assign yours without our written consent.
• • Headings are for convenience only and do not affect interpretation.
